1. Agreement

These Terms of Service (the "Terms") form a binding agreement between you ("Customer", "you") and BLUECORE TECHNOLOGY PTE. LTD., a private limited company incorporated in the Republic of Singapore (UEN: to be inserted) ("BLUECORE", "we", "us"). By creating an account or otherwise accessing the Service, you agree to these Terms.

What BLUECORE is not. BLUECORE is a software-as-a-service productivity assistant. It is not a securities exchange, a broker, a dealer, an investment adviser, a financial planner, a credit-rating agency, a payment service under the Singapore Payment Services Act 2019, a stored-value facility, a digital-asset platform, a legal-services provider, a tax adviser, or a medical practitioner. We do not place trades, hold client funds beyond service credit, redistribute regulated exchange market data, or provide personalised financial, legal, tax or medical advice.

Your use of the Service is subject to our Acceptable Use Policy ("AUP"), incorporated by reference. Breach of the AUP is a material breach of these Terms.

The Service integrates with third-party AI model providers, cloud platforms, and data sources. These providers are independent, and BLUECORE does not endorse or assume liability for their performance, availability, or outputs. Your use of provider capabilities through the Service may be subject to the provider's own terms.

11. Confidentiality

"Confidential Information" means non-public information disclosed by either party that is marked confidential or that a reasonable person would understand to be confidential given the circumstances. Each party will use at least reasonable care to protect the other's Confidential Information and will not disclose it except as needed to perform these Terms or as required by law.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement. BLUECORE does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that Outputs are accurate, complete, or suitable for any purpose. You are solely responsible for verifying Outputs before relying on them.

13. Limitation of Liability

To the fullest extent permitted by law, BLUECORE's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid to BLUECORE in the 12 months preceding the claim, or (b) USD 100.

In no event will BLUECORE be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, however caused and on any theory of liability, even if advised of the possibility of such damage. These limitations apply regardless of whether the claim is in contract, tort (including negligence), breach of statutory duty, or otherwise.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by Singapore law.

14. Indemnification

You agree to indemnify, defend and hold harmless BLUECORE and its officers, directors, employees and agents from and against any third-party claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising from (i) your breach of these Terms, (ii) your Customer Content, or (iii) your use of Outputs in violation of applicable law.

15. Termination

We may suspend or terminate your access immediately if you breach these Terms, violate the AUP, fail identity verification, become subject to United Nations or Singapore sanctions, or engage in activity reasonably suspected to be fraudulent or unlawful. You may terminate at any time by closing your account. On termination, your right to access the Service ceases immediately; we will delete or return Customer Content in accordance with the Privacy Notice. Sections that by their nature should survive (including disclaimers, limitations of liability, indemnification, governing law, and definitions) will survive termination.

16. Compliance with Law

You are responsible for compliance with all laws applicable to your use of the Service, including Singapore export controls, United Nations sanctions implemented in Singapore, the Personal Data Protection Act 2012 (PDPA), and content-related laws in your jurisdiction and that of your end users.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force. The seat of arbitration shall be Singapore, the language of the arbitration shall be English, and the tribunal shall consist of a single arbitrator.

18. Changes

We may amend these Terms by posting the updated version and providing at least 14 days' notice via the console or email. Continued use of the Service after the effective date constitutes acceptance.
