Terms of Service
1. Agreement
These Terms of Service (the "Terms") form a binding agreement between you ("Customer", "you") and BLUECORE TECHNOLOGY PTE. LTD., a private limited company incorporated in the Republic of Singapore (UEN: to be inserted) ("BLUECORE", "we", "us"). By creating an account or otherwise accessing the Service, you agree to these Terms.
2. Eligibility & Account
- You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to contract.
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for safeguarding your credentials and API keys.
- We may refuse, suspend or terminate accounts that fail identity verification, that originate from a jurisdiction subject to United Nations or Singapore sanctions, or that breach these Terms.
3. Prepaid Service Credit
- You may purchase prepaid service credit ("Credit") to consume the Service. Credit is denominated in USD and represents a limited-purpose prepayment for the Service only.
- Credit is non-transferable, non-exchangeable for any other goods or services, and cannot be redeemed for cash. For the avoidance of doubt, Credit is not a means of payment, is not stored value as defined under the Singapore Payment Services Act 2019, and is not a security, commodity, or digital payment token.
- Unused Credit remains available for consumption for 12 months from the date of top-up. Inactive accounts may be closed after 24 months of inactivity in accordance with applicable Singapore law.
- Subject to applicable law, prepaid Credit is generally non-refundable. Statutory cancellation rights are not affected.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy ("AUP"), incorporated by reference. Breach of the AUP is a material breach of these Terms.
5. Customer Content & Outputs
- You retain ownership of the prompts, schedules, documents and other materials you submit to the Service ("Customer Content").
- You grant BLUECORE a worldwide, non-exclusive, royalty-free licence to process Customer Content solely to operate, secure and improve the Service for you.
- The output generated for you ("Outputs") is provided to you as-is. To the extent applicable law allows, BLUECORE assigns to you any rights it may have in those Outputs, subject to your compliance with these Terms and the AUP.
- You are solely responsible for review. Outputs may be inaccurate, incomplete, or unsuitable for your purpose. You must independently verify any Output before relying on it, especially for any decision involving health, legal exposure, finance, investment, taxation, employment, or safety.
- We will not use your prompts or Outputs to train foundation models. Outputs may be sampled and reviewed for abuse-detection and quality assurance only.
6. Privacy
Our processing of personal data is described in the Privacy Notice, which forms part of these Terms.
7. Service Levels & Changes
- The Service is provided on a commercially-reasonable best-effort basis. We may schedule maintenance windows and will use reasonable efforts to provide advance notice.
- We may modify, suspend or discontinue features. Material adverse changes will be notified at least 30 days in advance via email or in-product notice.
8. Fees, Taxes & Billing
- Fees are displayed in the console and confirmed at the point of purchase. All fees are exclusive of applicable taxes, duties, and levies.
- You are responsible for any VAT, GST, sales, use, or similar taxes arising from your use of the Service. Where BLUECORE is required to collect such taxes, they will be itemised on your invoice.
9. Intellectual Property
- BLUECORE owns the Service, its underlying software, algorithms, documentation, branding, and all associated intellectual property rights. Except for the limited rights expressly granted in these Terms, no licence, assignment, or transfer of any IP right is made or implied.
- "BLUECORE TECHNOLOGY" and the BLUECORE logo are trademarks of BLUECORE TECHNOLOGY PTE. LTD. You may not use them without prior written permission.
10. Third‑Party Providers
The Service integrates with third-party AI model providers, cloud platforms, and data sources. These providers are independent, and BLUECORE does not endorse or assume liability for their performance, availability, or outputs. Your use of provider capabilities through the Service may be subject to the provider's own terms.
11. Confidentiality
"Confidential Information" means non-public information disclosed by either party that is marked confidential or that a reasonable person would understand to be confidential given the circumstances. Each party will use at least reasonable care to protect the other's Confidential Information and will not disclose it except as needed to perform these Terms or as required by law.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement. BLUECORE does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that Outputs are accurate, complete, or suitable for any purpose. You are solely responsible for verifying Outputs before relying on them.
13. Limitation of Liability
To the fullest extent permitted by law, BLUECORE's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid to BLUECORE in the 12 months preceding the claim, or (b) USD 100.
In no event will BLUECORE be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, however caused and on any theory of liability, even if advised of the possibility of such damage. These limitations apply regardless of whether the claim is in contract, tort (including negligence), breach of statutory duty, or otherwise.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by Singapore law.
14. Indemnification
You agree to indemnify, defend and hold harmless BLUECORE and its officers, directors, employees and agents from and against any third-party claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising from (i) your breach of these Terms, (ii) your Customer Content, or (iii) your use of Outputs in violation of applicable law.
15. Termination
We may suspend or terminate your access immediately if you breach these Terms, violate the AUP, fail identity verification, become subject to United Nations or Singapore sanctions, or engage in activity reasonably suspected to be fraudulent or unlawful. You may terminate at any time by closing your account. On termination, your right to access the Service ceases immediately; we will delete or return Customer Content in accordance with the Privacy Notice. Sections that by their nature should survive (including disclaimers, limitations of liability, indemnification, governing law, and definitions) will survive termination.
16. Compliance with Law
You are responsible for compliance with all laws applicable to your use of the Service, including Singapore export controls, United Nations sanctions implemented in Singapore, the Personal Data Protection Act 2012 (PDPA), and content-related laws in your jurisdiction and that of your end users.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force. The seat of arbitration shall be Singapore, the language of the arbitration shall be English, and the tribunal shall consist of a single arbitrator.
18. Changes
We may amend these Terms by posting the updated version and providing at least 14 days' notice via the console or email. Continued use of the Service after the effective date constitutes acceptance.
